Terms of Service

1. Who we are

BlueVault Marketplace (“Marketplace,” “we,” “us”) is operated by BlueVault Technologies, Inc., a Delaware corporation. These Terms of Service (“Terms”) govern your use of bluevaultservices.com and any related services we provide (collectively, the “Services”).

These Terms apply to both buyers and sellers who participate in the Marketplace. Sellers are organizations onboarded through our KYB process and bound by an additional Marketplace Sellers Agreement (MSA). Buyers are U.S. persons who complete identity, banking, and wallet verification.

By creating an account, browsing listings, posting a listing, or making a purchase, you agree to these Terms. If you don’t agree, don’t use the Services.

2. Eligibility

You may use the Marketplace only if all of the following are true:

  • You are at least 18 years old.
  • You are a U.S. person (citizen or lawful permanent resident).
  • You are not located in a jurisdiction where use of the Services is prohibited.
  • You are using the Services on your own behalf, with your own funds.

We may decline to onboard you or suspend your account if we have reason to believe you don’t meet these criteria.

3. What the Marketplace does (and doesn't) do

The Marketplace coordinates transactions between verified buyers and verified sellers of crypto assets. We:

  • List assets that sellers have registered with us.
  • Verify the identity, citizenship, banking, and receive-wallet details of buyers.
  • Generate unique payment reference codes so sellers can match incoming bank deposits to specific listings.
  • Notify both sides when a deposit clears and when the on-chain delivery is confirmed.

We do not:

  • Hold USD on behalf of buyers or sellers at any point.
  • Take custody of crypto assets at any point.
  • Operate as a money transmitter, broker-dealer, exchange, or investment adviser.
  • Provide financial, tax, or legal advice.

4. How purchases work

When you commit to a listing, the Marketplace shows you the seller’s bank routing and account details, plus a unique payment reference code for your transaction. You initiate the USD transfer (wire or ACH) from your verified bank account, including the reference code. Once the seller confirms the deposit has cleared their bank, the seller releases the crypto from their wallet to the receive wallet you registered with us. You will receive an email receipt with the on-chain transaction hash.

Settlement is between you and the seller. The Marketplace is a coordinator, not a counterparty. We do not guarantee any individual seller’s performance.

5. Pricing & fees

Listings are fixed-price and posted at fair market value at the time of sale. The asking price on each listing is what the buyer pays the seller.

The Marketplace charges no fee to buyers. Seller-side commercial terms (if any) are defined in the Marketplace Sellers Agreement, which sellers receive and acknowledge during onboarding.

5a. Additional terms for sellers

If you onboard as a seller, you also agree to the separate Marketplace Sellers Agreement (MSA). The MSA covers commercial terms, listing standards, settlement obligations, dispute handling, and grounds for revoking your seller access.

Sellers must:

  • Complete KYB onboarding (EIN, beneficial owners, business address, government ID summary for the primary signer) and keep this information current.
  • Post listings only for assets you actually hold and can deliver on-chain on the network you specify.
  • Honor the price posted on every listing — no surprise fees, no after-the-fact repricing.
  • Confirm USD receipt promptly and release crypto to the buyer’s verified wallet once the buyer’s deposit has fully cleared in your bank account.
  • Protect any API key issued to you the same way you protect a password. Compromised keys must be reported to us immediately so we can rotate.

We may suspend a seller’s account, hide their active listings, or terminate their access for breach of these Terms or the MSA, at our discretion.

6. Your obligations

By using the Services, you agree to:

  • Use the Services only for lawful purposes and only for transactions you are personally authorized to make.
  • Provide accurate, current, complete information during onboarding and keep that information up to date.
  • Maintain control of the receive wallet(s) you register. Lost keys cannot be recovered by us or the seller.
  • Not attempt to circumvent our verification or fraud-prevention systems.
  • Not use the Services for any activity prohibited by U.S. law.

7. Bank information & PCI scope

We collect the name of your bank, its routing number, and the last four digits of your sending account — not the full account number. Keeping full account numbers out of our systems narrows our regulatory and compliance footprint. You are responsible for the accuracy of the information you provide and for ensuring that the bank account you describe is one you control.

8. Risks

Crypto assets are volatile. Once an asset is delivered on-chain to your receive wallet, the transaction is final and irreversible. You bear all risk of price movement, network conditions, custody, and any subsequent loss of your wallet keys. The Marketplace is not responsible for losses arising from your handling of assets after settlement.

9. Suspension & termination

We may suspend or terminate your account at our discretion, including for failure to complete verification, suspected fraud, or violation of these Terms. Buyer-seller transactions themselves happen bank-to-bank and wallet-to-wallet; the Marketplace does not hold funds or intermediate sales, so a transaction already in flight cannot be reversed by us.

10. Disclaimers & limitation of liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLUEVAULT TECHNOLOGIES, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, AND OUR AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES YOU’VE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you by email or via the Services. Your continued use of the Services after the changes take effect constitutes your acceptance.
